Applied quantum technology firm EigenQ, Inc. and special purpose acquisition company Silicon Valley Acquisition Corp. (SVAQ) (NASDAQ: SVAQ) have executed a securities purchase agreement securing $45 million in committed convertible note financing. Lead placement agent Cohen & Company Securities arranged the institutional financing, which provides $22.5 million in upfront funding with the remaining $22.5 million set to release upon closing of their previously announced business combination. The deal values the post-merger entity at an estimated $3 billion enterprise value, positioning EigenQ to list on the Nasdaq Global Market under the ticker symbol EIGQ in Q4 2026.
EigenQ will deploy the net proceeds to accelerate commercial deployment of its quantum-safe security portfolio, expand delivery capacity alongside OEM and channel partners, and fund ongoing R&D across quantum-derived entropy, post-quantum cryptography (PQC), quantum networking, and sensing technologies. According to executive management, the committed capital fully funds the company through to positive cash flow, leveraging a capital-light operational model built on commercial distribution agreements with major technology vendors.
